These Terms of Use ("Terms") govern access to and use of the SunTravel platform ("SunTravel", "Platform", "we", "us"), a business-to-business reservation and distribution gateway operated by [Legal entity name, registration no., registered address]. By registering for, accessing or using the Platform, the registering legal entity ("Operator", "you") accepts these Terms in full. If you do not agree, you must not use the Platform. The Platform is intended solely for businesses (tour operators) acting through an authorised representative; it is offered solely to tour operators and not to travel agencies or consumers.

1. Definitions

Platform / Services — the SunTravel software, APIs, operator panel and related services that let the Operator search, price and book travel inventory from third-party Suppliers. Supplier — a third-party provider of travel inventory (e.g. hotel bedbanks/aggregators) accessible through the Platform. Guest — the Operator's own end customer for whom a Booking is made. Booking — a reservation created through the Platform. Wallet — the Operator's prepaid balance held with us and used to settle Bookings and fees.

2. Nature of the Service — Intermediary Only

SunTravel is a technology gateway and intermediary. We facilitate access to inventory owned and operated by Suppliers and the underlying service providers (hotels, etc.). We are not the provider of the travel services, are not a party to the contract between the Operator and its Guest, and do not own, control or operate the accommodation or other services booked. The travel services are subject to the terms, rates, availability and policies of the relevant Supplier and provider, which prevail over any display on the Platform.

3. Eligibility, Account & Security

Access requires an approved Operator account. You warrant that the information you provide is accurate and kept up to date, that you are duly authorised to bind your organisation, and that you will comply with all applicable laws. You are responsible for safeguarding your credentials and API tokens and for all activity under your account. You must notify us promptly of any suspected unauthorised use. We may approve, decline, suspend or revoke accounts and API access at our discretion, including for risk, compliance or non-payment reasons.

4. Operator Responsibilities

The Operator is solely responsible for: (a) its relationship and contract with its Guests, including pricing it sets, invoicing, consumer-law and information duties; (b) the accuracy of search, guest and payment data submitted; (c) lawful, non-abusive use of the Platform and APIs (no scraping beyond agreed limits, no resale of access, no circumvention of rate or security controls); and (d) ensuring it holds any licences required to act as a travel intermediary in its market. The Operator may distribute the resulting travel products to its own downstream agencies and sub-clients under its own account and brand, provided it remains solely responsible and liable for their conduct, bookings and payments; such distribution does not constitute resale of Platform access, and no direct contractual relationship arises between us and the Operator's agencies or their customers.

5. Fees, Commissions & Wallet

The Platform operates on a prepaid Wallet model. The amount deducted from the Wallet for each Booking comprises the supplier net price plus, as applicable, our service fee/commission (a percentage or tier set per Operator) and a payment/VCC handling fee. Fees are shown in the operator panel before confirmation and are deducted at the time of Booking. Top-ups are non-interest-bearing. We may amend fees, tiers and percentages on reasonable prior notice; continued use after the effective date constitutes acceptance. Amounts are exclusive of any taxes that may apply to our service.

6. Bookings, Cancellations & Refunds

Each Booking is subject to the Supplier's and provider's rate rules and cancellation policy, which are surfaced before confirmation. Where a Booking is cancelled, any cancellation penalty determined by the Supplier/provider applies and is borne by the Operator; the refundable balance (if any) is returned to the Wallet. Non-refundable rates are not refundable. Our service/handling fees are non-refundable except where stated. The Operator is responsible for communicating the applicable terms to its Guest.

7. Third-Party Suppliers

Availability, content, pricing and fulfilment are provided by Suppliers and providers and may contain errors, change without notice, or become unavailable. We are not liable for the acts, omissions, accuracy, quality, safety or failure of any Supplier or provider, for overbooking, or for obvious pricing/content errors, which we may correct or void.

8. Service Availability & Technical Interruptions

The Platform is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation. Access may be suspended or degraded due to scheduled or emergency maintenance, upgrades, capacity limits, security events, or failures of third parties (Suppliers, hosting, payment, email or network providers). We will use commercially reasonable efforts to limit disruption but are not liable for any unavailability, latency, data delay, or for Bookings that cannot be completed for technical reasons outside our reasonable control.

9. Intellectual Property

The Platform, software, APIs, documentation, trademarks and content are owned by us or our licensors. We grant the Operator a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for its internal business of making Bookings under these Terms. No other rights are granted.

10. Limitation of Liability

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special or consequential damages, or for loss of profit, revenue, goodwill or data; (b) we are not liable for the travel services themselves or for Supplier/provider acts or omissions; and (c) our total aggregate liability arising out of or relating to the Platform shall not exceed the total service fees actually paid by the Operator to us in the three (3) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

11. Indemnification

The Operator shall indemnify and hold us harmless against any claims, losses and costs (including reasonable legal fees) arising from its use of the Platform, its breach of these Terms or applicable law, or any dispute between the Operator and its Guest.

12. Confidentiality & Data Protection

Each party shall keep the other's non-public commercial and technical information confidential. Processing of personal data is described in our Privacy Policy. With respect to Guest personal data submitted by the Operator, the Operator acts as data controller and SunTravel acts as processor on its behalf and on the documented instructions reflected in these Terms.

13. Suspension & Termination

We may suspend or terminate access immediately for breach of these Terms, non-payment or insufficient Wallet balance, suspected fraud or misuse, legal/risk reasons, or Supplier requirements. Either party may terminate on notice as set out in the operator agreement. Confirmed Bookings remain governed by their applicable cancellation policies. Sections that by their nature should survive (fees due, liability, IP, confidentiality, governing law) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes increment the effective version shown above and may require renewed acceptance before continued use. Your continued use after the effective date constitutes acceptance of the updated Terms.

15. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, strikes, outages, failures of telecommunications or third-party services, or governmental action.

16. Governing Law & Disputes

These Terms are governed by the laws of [governing jurisdiction], and the courts of [competent courts] shall have exclusive jurisdiction, without prejudice to any mandatory consumer or local-law protections that may apply.

17. Miscellaneous

If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. The Operator may not assign these Terms without our consent; we may assign to an affiliate or successor. These Terms, together with the operator agreement and fee schedule, form the entire agreement between the parties regarding the Platform.
